Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Njoodukani platform. By creating an account or making a purchase, you agree to be bound by these Terms. If you do not agree, please do not use our services.
1. About Njoodukani
Njoodukani is a digital super-app and multi-vendor e-commerce marketplace operating in Uganda and across East Africa. We connect buyers with sellers, facilitate local and international delivery, provide digital wallet services, and offer investment products. Njoodukani acts as the platform operator and is not a party to the individual sale contract between buyers and third-party vendors.
2. Eligibility
- You must be at least 18 years old to create an account and use our services.
- By using Njoodukani, you represent and warrant that you have the legal capacity to enter into a binding agreement.
- If you are using the platform on behalf of a business, you warrant that you are authorised to bind that business to these Terms.
3. Account Registration
- You must provide accurate, complete, and current information during registration and keep it up to date.
- You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account.
- You must notify us immediately at support@njoodukani.com if you suspect any unauthorised use of your account.
- We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
4. Purchasing Products
4.1 Orders
When you place an order, you make an offer to purchase the product at the listed price. Orders are confirmed when you receive an order confirmation email. Njoodukani reserves the right to cancel orders due to pricing errors, stock unavailability, or suspected fraud.
4.2 Pricing and Currency
All prices are displayed in the selected currency and are inclusive of applicable taxes unless stated otherwise. Prices may change without notice, but changes will not affect orders already confirmed.
4.3 Payment
We accept payment via mobile money, credit/debit card, PayPal, Flutterwave, and Njoodukani Wallet balance. Payment must be received in full before an order is dispatched. All payment processing is handled by certified third-party processors.
4.4 Delivery
Delivery timelines are estimates. Njoodukani is not liable for delays caused by customs, weather, or events beyond our control. Risk of loss passes to you upon delivery.
5. Returns and Refunds
- You may request a return within 7 days of receiving your order if the product is defective, damaged, or significantly different from the description.
- Products must be returned in their original packaging, unused, and with proof of purchase.
- Refunds are processed within 5β10 business days after the returned item is received and inspected.
- Digital downloads and perishable goods are non-refundable unless defective.
- Shipping costs for returns due to buyer's remorse are borne by the buyer.
6. Vendor Terms
If you register as a vendor on Njoodukani, the following additional terms apply:
- You must provide accurate product descriptions, images, and pricing.
- You are solely responsible for the quality, safety, legality, and fulfilment of the products you list.
- You must not list counterfeit, illegal, hazardous, or prohibited goods.
- Njoodukani charges a commission on each sale as specified in your vendor agreement.
- Payments to vendors are processed on a weekly basis, subject to any holds for disputes or chargebacks.
- Njoodukani reserves the right to remove any listing or suspend any vendor account that violates our policies.
7. Digital Wallet and Financial Services
- The Njoodukani Wallet is a stored-value account allowing you to pay for goods and send money within the platform.
- Wallet funds are not insured as bank deposits and do not earn interest.
- You must not use the wallet for money laundering, fraud, or any illegal purpose.
- We reserve the right to freeze wallet funds pending investigation of suspected fraud or regulatory non-compliance.
8. Investment Services
Njoodukani may offer investment products through its platform. All investments carry risk. Past performance is not indicative of future results. Investment products are provided for informational purposes only and do not constitute financial advice. Please read all investment documentation carefully before investing.
9. Prohibited Conduct
You agree not to:
- Use the platform for any unlawful purpose or in violation of any applicable law or regulation.
- Post or transmit false, misleading, defamatory, or offensive content.
- Attempt to gain unauthorised access to any part of the platform or another user's account.
- Use automated tools (bots, scrapers) to collect data from the platform without written permission.
- Interfere with the security, integrity, or performance of the platform.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Engage in any fraudulent activity including fake reviews, shill bidding, or payment fraud.
10. Intellectual Property
All content on the Njoodukani platform, including the logo, design, software, text, images, and trademarks, is owned by or licensed to Njoodukani and is protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our prior written consent. Vendors retain ownership of their product content but grant Njoodukani a non-exclusive licence to display it on the platform.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Njoodukani shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages.
- Loss of profits, revenue, data, or business opportunity.
- Losses arising from the acts or omissions of third-party vendors, delivery partners, or payment processors.
- Any service interruptions, technical errors, or security breaches beyond our reasonable control.
Our total aggregate liability to you for any claim arising from your use of the platform shall not exceed the total amount paid by you to Njoodukani in the three (3) months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless Njoodukani, its officers, directors, employees, and agents from any claims, losses, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of the platform, or your violation of any third-party rights.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Uganda. Any disputes shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Kampala, Uganda.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or a prominent notice on the platform at least 14 days before they take effect. Your continued use of the platform after the effective date constitutes acceptance of the updated Terms.
